8:29 pm PT Sunrise Telecom files a request for a five-day extension to file its 10-Q (SRTI) 2.15 :Co announced that it has filed a request with the SEC for a five-day extension with respect to the filing of its Quarterly Report on Form 10-Q for the quarter ended September 30, 2005, as permitted by Rule 12b-25 under the Securities Exchange Act of 1934. The delay is primarily due to their need need for additional time to complete a special investigation into certain transactions and issues involving its sales office in Korea that the SRTI announced on November 7, 2005.
8:22 pm PT Susquehanna Bancshares and Minotola National Bank announce merger (SUSQ) 23.85 :Susquehanna and Minotola National Bank today announced the signing of a merger agreement pursuant to which Susquehanna will acquire Minotola in a stock and cash transaction valued at $165 mln. Under the terms of the agreement, for each share of Minotola stock held, a Minotola shareholder may elect to receive either $3,226 in cash, 134 common shares of SUSQ or a combination thereof such that 30% of the Minotola shares would be exchanged for cash, and 70% would be exchanged for SUSQ common stock. Susquehanna expects to achieve 30% cost savings through the reduction of administrative and operational redundancies. The transaction is anticipated to be accretive to earnings per share in 2006.
