After slipping below the 11,000 level for the time since early March just two days ago, the Dow powered back to lead the way among the majors, ending a two-week losing streak and tacking on nearly 300 points since bottoming out at 10,980 on Wednesday.

Providenti informed the co's Board of Directors that he will be resigning from the Board and from his position as Audit Committee Chairman effective June 13, 2006, the date of CPI Aero's Annual Meeting of Shareholders. Walter Paulick, a current Audit Committee member, will replace Mr. Providenti as Chairman of the Audit Committee and Eric Rosenfeld, the co's non-executive Chairman of the Board, will become a member of the Audit Committee. Mr. Providenti advised CPI Aero that his resignation is not the result of any disagreement on any matter relating to the Company's operations, policies or practices.

Sovereign said the $2.4 bln common equity placement to Santander, at $27.00 per share, will take place on May 31, 2006. After the offering, Santander will own 19.8% of Sovereign's common shares outstanding. Effective as of June 1, 2006, Sovereign will acquire Independence by purchasing all outstanding common shares of Independence for $42.00 per share in cash.
